By accessing or using our website, the investor portal, the marketplace, the services configurator, or any related platform, application, or service (collectively, the "Services"), you agree to follow and be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Services.

These Terms apply to all users of the Services, including visitors to our public marketing site, authorized users of the investor portal, marketplace participants, and users of the services fit configurator. Separate terms may apply to specific features, as described below.

1. Scope of These Terms

The Services include, without limitation:

  • Public Marketing Site: The informational website at multipolardefense.com and related pages describing our company, platforms, services, and capabilities.
  • Investor Portal: The password-protected portal accessible via the investors subdomain, which provides authorized investors with access to confidential company information, including the cap table, financial models, data room documents, and investment intent functionality.
  • Marketplace: The partner and third-party tool marketplace, including waitlist registration and vendor submission functionality.
  • Services Fit Configurator: The interactive assessment tool that helps prospective clients identify relevant service packages and request briefings.
  • Contact and Briefing Request: The contact forms and email channels through which you may request briefings or otherwise communicate with us.

2. Use of the Services

The Services are provided for informational, commercial, and investor-relations purposes. You agree to use the Services only for lawful purposes and in a manner that does not infringe upon, restrict, or inhibit anyone else's use and enjoyment of the Services. You further agree not to:

  • Attempt to gain unauthorized access to any portion of the Services, including the investor portal, admin tools, or any systems or networks connected to the Services.
  • Use any automated means, including bots, scrapers, or crawlers, to access, monitor, or copy any content from the Services without our prior written consent.
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or systems connected to the Services.
  • Upload, transmit, or distribute any malicious code, viruses, or other harmful components.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Violate any applicable federal, state, local, or international law or regulation, including export control laws and regulations.

3. Investor Portal Access

Access to the investor portal is restricted to authorized users. By accessing the investor portal, you acknowledge and agree that:

  • Authorized Use Only: You are an authorized user (an approved investor, prospective investor, or administrator) and have been granted access by Multipolar Defense, LLC. Your access is personal to you and may not be shared, transferred, or sublicensed.
  • Confidentiality: The investor portal contains confidential, proprietary, and trade secret information, including the cap table, financial models, and data room documents. You agree to maintain the confidentiality of all such information and not to disclose, distribute, or reproduce it without our prior written consent, except as required by law.
  • Non-Binding Investment Intents: Any investment intent, expression of interest, or other indication of interest submitted through the investor portal is non-binding and does not create any obligation on the part of Multipolar Defense, LLC to offer, sell, or issue any securities. No securities are offered or sold through the investor portal.
  • Not an Offer of Securities: Nothing in the investor portal constitutes an offer to sell, or a solicitation of an offer to buy, any security. Any potential investment would be made only pursuant to definitive transaction documents and applicable securities laws.
  • Termination of Access: We reserve the right to suspend or terminate your access to the investor portal at any time, with or without cause and with or without notice.

4. Marketplace

The marketplace is a platform for discovering and evaluating third-party tools, services, and content. By using the marketplace, you acknowledge and agree that:

  • Third-Party Content: The marketplace may display or reference products, services, and content provided by third parties. We do not endorse, warrant, or guarantee any third-party products, services, or content, and we are not responsible for their accuracy, quality, or performance.
  • Vendor Submissions: If you submit a solution, product, or service for consideration in the marketplace, you represent and warrant that you have the right to submit such information and that the information is accurate and not misleading. Submission does not guarantee inclusion in the marketplace.
  • No Purchase Transactions: The marketplace currently does not process purchases or payments. Any transactions with third-party vendors would be governed by separate agreements between you and the vendor.

5. Services Fit Configurator

The services fit configurator is provided for informational purposes to help you identify service packages that may be relevant to your organization. The results are indicative only and do not constitute a binding offer, a quote, or a commitment to provide services. Any engagement would be subject to a separate written agreement. By submitting a briefing request through the configurator, you represent that the information you provide is accurate and that you are authorized to submit such information on behalf of your organization.

6. Intellectual Property Rights

All text, graphics, interfaces, code, designs, and content on the Services are the property of Multipolar Defense, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. "WINS", "GENOMIA", "CYBAIR", "SiliconAIR", "AIR", and "Multipolar Defense" are proprietary trademarks of Multipolar Defense, LLC or its affiliates. Nothing on the Services should be construed as granting any license or right to use any branding, trademark, or copyrighted materials without our prior written consent.

Certain platforms, including WINS, may be owned by affiliated entities and licensed to Multipolar Defense, LLC. All rights in such platforms are reserved to their respective owners.

7. No Professional Advice or Assurances

The content on the Services is for general informational and marketing purposes only. It does not constitute professional strategic, administrative, technical, cybersecurity, legal, tax, or investment advice.

  • We make no representations or warranties about the completeness, accuracy, reliability, or timeliness of any content published on the Services. Relying on any of the information is strictly at your own risk.
  • Any financial information, projections, or models presented in the investor portal are provided for informational purposes only and are not a guarantee of future performance. Past performance is not indicative of future results.

Multipolar Defense, LLC operates in the defense and national security sector. The Services and any information accessed through them may be subject to U.S. export control laws and regulations, including the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR). You agree to comply with all applicable export control laws and regulations and not to access, use, or disclose any controlled information in violation of such laws. You further agree that you are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions or embargoes.

If the Services contain links to external, third-party websites or services, we provide them solely for your convenience. We do not endorse, monitor, control, or take responsibility for the privacy practices, terms, or contents of any third-party websites.

10. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE SECURELY, ERROR-FREE, OR UNINTERRUPTED, OR THAT THE SERVERS MAKING THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY FINANCIAL MODELS, PROJECTIONS, OR OTHER DATA PRESENTED IN THE INVESTOR PORTAL OR ELSEWHERE ON THE SERVICES.

11. Limitation of Liability

IN NO EVENT SHALL MULTIPOLAR DEFENSE, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS, USE, OR INABILITY TO USE THE SERVICES, INCLUDING ANY LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Multipolar Defense, LLC and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Services, or your violation of any rights of any third party.

13. Termination

We reserve the right to suspend or terminate your access to all or any portion of the Services, including the investor portal, at any time, with or without cause and with or without notice. Upon termination, your right to use the Services immediately ceases. Sections 6, 7, 10, 11, 12, 14, 15, 16, and 17 shall survive any termination of these Terms.

14. Governing Law and Dispute Resolution

These Terms, and all claims or causes of action arising hereunder, shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice or conflict of law provision.

Arbitration: Except for claims seeking injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in Wyoming, unless the parties agree otherwise.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted in your individual capacity and not as a class action or other representative proceeding. You waive any right to participate in a class action or class-wide arbitration.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Multipolar Defense, LLC concerning your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

17. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government actions, natural disasters, power failures, or internet or telecommunications disruptions.

19. Changes to These Terms

We reserve the right to revise and update these Terms at any time. We will post any changes on this page and update the "Last updated" date. For material changes, we will make reasonable efforts to notify you, including by posting a notice on the Services or sending an email to registered users. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
